By accessing and using Systera's services, you accept and agree to be bound by the terms and provision of this agreement.
If you do not agree to abide by the above, please do not use this service.
Description of Service
Systera provides software development services including:
- Custom software development
- AI-powered development solutions
- Legacy system modernization
- MVP development and prototyping
- Technical consulting and architecture
User Responsibilities
You agree to:
- Provide accurate and complete information
- Maintain the security of your account information
- Use our services only for lawful purposes
- Not interfere with or disrupt our services
- Respect intellectual property rights
Payment Terms
Payment terms for our services are as follows:
- Payment schedules will be agreed upon in individual project contracts
- All payments are due according to the agreed schedule
- Late payments may result in project delays or suspension
- All fees are non-refundable unless otherwise specified
Intellectual Property
Intellectual property rights are governed by individual project agreements. Generally:
- Client retains ownership of their existing intellectual property
- Custom developed code ownership is typically transferred to the client upon final payment
- Systera retains rights to reusable components and frameworks
- Third-party components remain under their respective licenses
Confidentiality
We are committed to maintaining the confidentiality of your information:
- We will not disclose confidential information to third parties
- We implement appropriate security measures
- Confidentiality obligations survive the termination of our relationship
- Exceptions apply when required by law or with your consent
Limitation of Liability
To the maximum extent permitted by law:
- Systera's liability is limited to the amount paid for services
- We are not liable for indirect, incidental, or consequential damages
- We do not guarantee specific outcomes or results
- Force majeure events may affect service delivery
Termination
Either party may terminate the agreement:
- With written notice as specified in the project contract
- Immediately for material breach of terms
- Upon completion of the agreed services
Upon termination, you remain responsible for payment of completed work.
Dispute Resolution
We prefer to resolve disputes amicably:
- Parties agree to attempt informal resolution first
- Mediation may be required before legal action
- Any legal proceedings will be governed by applicable law
Changes to Terms
We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting. Continued use of our services constitutes acceptance of modified terms.
